Our comparison analysis
Acquisition finance backed by several asset classes
An acquisition budget should distinguish funds paid to the seller from cash left inside the acquired business. Ask how the lender values each asset class and whether any cash-flow component has a different amortization schedule. Review group guarantees and cross-security alongside the acquisition structure, particularly if several entities hold the assets. Bank-level regulatory status does not determine the protections attaching to every commercial agreement; obtain advice on the actual documents.
Worked planning example
Illustrative: a GBP 6 million transaction budget comprises GBP 5 million for the seller, GBP 400,000 of costs and GBP 600,000 of opening working capital. A GBP 5 million purchase facility leaves GBP 1 million to fund or contribute separately.
Hypothetical assumptions, not a provider quote or an underwriting rule.
Questions to put in writing
- Which entity borrows and which group companies guarantee?
- How does each tranche amortize or revolve?
- Which asset releases require consent or mandatory repayment?
Request a dated proposal identifying the contracting lender, lessor or factor, every compulsory charge, the payment schedule and the conditions that remain before funding.
