Business Acquisition Loans: Include Post-Closing Working Capital

Acquisition financing should cover a viable transaction and the cash needed after closing. The purchase price alone does not show whether the acquired business can support the combined obligations.

The key decision

Acquisition financing should cover a viable transaction and the cash needed after closing. The purchase price alone does not show whether the acquired business can support the combined obligations.

What to consider before choosing

Review financial statements, customer concentration, working-capital requirements and the quality of earnings with appropriate advisers. Separate buyer equity, seller financing and outside borrowing. Include integration costs and the first payroll or inventory cycle after ownership changes. Avoid assuming historical profits continue unchanged under new ownership.

Your preparation checklist

  • Prepare a complete sources-and-uses budget.
  • Assess normalized cash generation and existing liabilities.
  • Include post-closing operating reserves.

Translate the plan into a weekly cash forecast

Start with cash that is genuinely available. Add expected customer collections and subtract suppliers, payroll, premises, tax reserves and existing financing. Insert the proposed payment dates and identify the lowest balance. Separate sales growth from cash collection: an invoice is not money available to make a payment today.

Test both weaker sales and a delay in a major receipt. These are different risks and can require different solutions. Consider a smaller staged project, customer deposits or revised supplier terms alongside borrowing. Keep enough operating cash to deliver the work that is supposed to repay the facility.

Hypothetical planning example

Put the decision into numbers

Illustration: paying 300,000 for a business while leaving no cash for its first 40,000 operating cycle can create immediate pressure even when the acquisition price appears attractive.

This is an illustration, not a customer case, provider quote, approval or market benchmark. Unless a currency is stated, use one consistent currency throughout your own calculation.
